Core services · Two service lines

Get the U.S. books and taxes right first — then add the leader who owns them when you need one

B&G does two things at once. One line is ongoing execution: monthly bookkeeping, payroll, sales tax and income tax filings, done properly. The other is fractional leadership: a CFO, controller or tax director on a fixed monthly basis, led by a CPA with in-house experience who owns the outcome. Both lines run on one team, one set of books and one calendar.

01 Compliance & executionWhere most clients start

Bookkeeping · Payroll · Sales tax · Income tax

A fixed monthly rhythm that closes the books and files the returns, with bilingual reports headquarters can read directly — one team from entity launch through annual filings.

  • QuickBooks bookkeeping, monthly close and bilingual management reports
  • U.S. payroll, payroll taxes and employer compliance
  • Sales tax nexus reviews, multistate registration and filing
  • Withholding on payments to the parent: W-8BEN-E, Forms 1042 / 1042-S
  • U.S. company formation (as step one of the monthly engagement; not offered stand-alone)
  • Federal and state income tax, Form 5472 and related-party reporting
  • Historical cleanup and IRS / state notice responses

02 Fractional leadershipThe next layer as the business grows

Fractional CFO · Controller · Tax Director

When the subsidiary needs an owner, not another vendor: someone who knows U.S. rules and headquarters' requirements and is accountable for the result — on a fixed monthly basis, without a full-time executive's cost.

  • Fractional CFO: budget and 13-week cash forecast, headquarters and board reporting, funding and bank financing
  • Fractional Controller: close calendar, full reconciliations, consolidation package, controls and audit PBC
  • Fractional Tax Director: full-year tax calendar, quarterly provision, transfer-pricing register, multistate nexus, notice representation

Two lines, one packageTake one line or both — most clients start with execution and add the leadership layer as the business grows; the same team carries on, with no hand-over and no second vendor.
  • One teamleader and execution team under one roof
  • One set of booksbookkeeping, reporting and filings on one basis
  • One calendarclose, filings and tax deadlines interlocked

Solutions

Go straight to the solution for your situation

U.S. subsidiaries of Chinese companies

Consolidation-ready monthly reporting, payroll, multistate tax, Forms 1120 and 5472, withholding on payments to the parent — one accountable team.

Cross-border e-commerce sellers

Marketplace collection is not the end of compliance; selling direct through your own site and a U.S. warehouse means company, importer and sales tax sorted in one pass. Amazon / Shopify / TikTok Shop reconciliation, inventory and landed cost, nexus and VDA.

Form 5472 filing

Required for 25%+ foreign-owned U.S. corporations and foreign-owned single-member LLCs in any year with related-party transactions — no revenue is not an exemption; $25,000 per missed form. Determination, filing and late-filing relief.

Sales tax nexus & VDA

Which states require registration, how thresholds are measured, what marketplace collection leaves to you, and how to cure missed years through voluntary disclosure. State by state.

Withholding on payments to the parent

Dividends, interest and royalties are withheld at 30% by default, 10% under the U.S.–China treaty with a W-8BEN-E; service fees follow where the work is done. Forms 1042 / 1042-S deposits, filing and catch-up.

How we work & fees

Fixed monthly fee, clear scope. How the fee is set, what it includes, how onboarding works. First conversation free.

U.S. company formation (with ongoing bookkeeping and tax)

Formation is step one — entity, state, EIN, bank, sales-tax registration on one calendar. Not offered as a stand-alone service.

Why one accountable partner

U.S. compliance shouldn't be something you piece together yourself.

Many companies end up with one bookkeeper, one payroll provider, one sales-tax service and a tax preparer who appears once a year — and no one who owns the complete process. That's where gaps, inconsistencies and penalties come from.

The fragmented approach

  • Bookkeeping, payroll, sales tax and income tax split across providers
  • No one sees the complete compliance picture
  • Headquarters and the U.S. team work from different numbers
  • QuickBooks is incomplete and the monthly close slips
  • When an IRS or state notice arrives, no one takes the lead

The B&G approach

  • One team owns bookkeeping, payroll, sales tax and income tax
  • One compliance calendar, proactively managed
  • Bilingual communication keeps everyone on the same page
  • Books close monthly; leadership sees real numbers
  • Notices are analyzed, answered and followed through to resolution

FAQ

Questions we hear most often

What do we need to do after forming a U.S. company?
Typically: obtain an EIN, open a bank account, complete state and local tax registrations, set up an accounting system, register for payroll (if hiring), evaluate sales-tax obligations, and file federal and state returns on schedule. Requirements vary by state and business model. We prepare a first-year compliance roadmap so every task, owner and deadline is clear from day one.
We're just getting started in the U.S. Where should we begin?
Start with a clear picture of where you are: entity type and state, whether you're hiring, and where you sell. In an initial conversation we map these basics, flag the most time-sensitive items and suggest a sensible order of operations — not a one-size-fits-all package.
Can you handle bookkeeping, payroll and sales tax together?
Yes — that's the core of what we do. One team manages bookkeeping, payroll, sales tax and income tax with consistent data and connected deadlines, so you're never stuck relaying files between three different providers.
Can our China headquarters communicate directly in Chinese?
Yes. The founder works natively in both languages. Your headquarters team can communicate in Chinese while we work in English with U.S. banks, tax authorities, payroll providers and advisors — keeping both sides fully aligned.
We already have a tax preparer. Do we still need you?
Annual tax filing is only a small part of the picture. Monthly bookkeeping, payroll, sales tax and year-round compliance are where most problems actually arise. We can own that ongoing work and coordinate with your existing preparer — or take on the full scope if you prefer.
Can you manage sales tax and registrations in multiple states?
Yes. We provide nexus analysis, state registrations, taxability setup and recurring filings — and we proactively reassess your obligations as you enter new states, so you're never surprised by an obligation you didn't know existed.
Can you help with IRS or state notices?
Yes. We analyze what the notice actually means, explain it plainly, prepare the response and follow the matter through to resolution. The founder is an IRS Enrolled Agent and can represent taxpayers before the IRS at the federal level.
Do you provide legal or immigration services?
No. Legal and immigration matters require licensed attorneys. We frequently work alongside legal counsel on entity setup, contracts and ownership structures to make sure the tax and accounting perspective is fully considered.
How are fees determined?
Fees depend on complexity: transaction volume, headcount, number of states, sales channels and scope of services. Most clients work with us on a fixed monthly fee for predictable budgeting. We provide a clear quote after understanding your situation; all services are governed by a signed engagement letter.
How do we get started?
Scan the QR code on this site to connect on WeChat and briefly introduce your industry, stage and the states involved. We'll start with an initial conversation to understand your situation and explain how we can help — then you decide whether to move forward.
We just want someone to do the bookkeeping and tax filings — is that fine?
Yes — that is how most clients begin. A fixed monthly fee covers bookkeeping, monthly reports, payroll, sales tax filings and the full-year compliance calendar; annual returns are quoted separately. You do not need to start with a senior service; decide on the leadership layer only when the business gets more complex.
When does a business need the leadership layer (fractional CFO / controller / tax director)?
Signals worth acting on: headquarters never receives a final monthly package, the close is always late, the business spans several states or intercompany transactions are growing, you are negotiating with a U.S. bank or preparing for funding, or headquarters wants a budget and cash forecast. The missing piece is then an owner of the outcome, not another bookkeeper. Start with one role on a fixed monthly basis, sharing the same books and calendar as your bookkeeping and tax service.
